Terms of Use
Buzz Research Inc.
Last updated: October 9, 2026
Buzz Research Inc. ("Buzz Research," "we," "us" or "our") makes the Earnings mobile application, the website at earnings.app and its subdomains, and related software, content, features and services (together, the "Services"). These Terms of Use (the "Terms") are a legally binding agreement between you and Buzz Research and govern your access to and use of the Services.
ARBITRATION NOTICE. These Terms contain a binding arbitration clause and a class action waiver in Section 19 (Dispute Resolution). If you are located in the United States or Canada, you agree that disputes between you and Buzz Research will be resolved by binding, individual arbitration, and you waive your right to a jury trial and to participate in any class or representative action. You may opt out of arbitration as described in Section 19.
RISK NOTICE. The Services let you trade perpetual futures with leverage. Leveraged trading is extremely risky. You can lose all of the funds you commit, very quickly. Read Section 9 (Risks) before you use the Services.
1. Agreement to these Terms
By downloading, installing, accessing or using the Services, creating an account, joining our waitlist, or clicking a button or checkbox to accept these Terms, you (a) accept and agree to these Terms and (b) consent to the collection, use, disclosure and other handling of information as described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference. If you do not agree, do not access or use the Services.
If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.
2. What Earnings is, and what it is not
2.1 The Services. Earnings is a software interface. It shows a calendar of upcoming company earnings reports and related market information, and it lets you connect to and interact with third-party protocols and services, including to submit orders for perpetual futures contracts that reference the prices of stocks and other assets ("Perpetuals"). Features may include, among other things: market data and charts; earnings dates and estimates; a self-custodial embedded wallet; a funding interface for third-party payment providers; order entry; position and P&L displays; shareable trade cards; public profiles, holder lists and trade rationales ("Community Features"); the ability to view and replicate other users' positions ("Copy Features"); referral programs; and notifications.
2.2 Not a broker, exchange or custodian. Buzz Research is not a broker, dealer, futures commission merchant, introducing broker, exchange, clearing house, swap execution facility, money transmitter, bank, custodian, investment adviser, commodity trading advisor or fiduciary. We do not hold, control or take custody of your funds or digital assets, we do not execute, clear or settle your trades, and we are not a counterparty to any transaction you make. Orders you submit through the Services are signed by your wallet and routed to third-party, decentralized or independently operated protocols, venues and liquidity sources (each a "Protocol"), including the Hyperliquid protocol and markets deployed on it by third parties. Those Protocols, and not Buzz Research, determine whether and how your order is executed, margined, liquidated and settled.
2.3 No advice. Nothing in the Services is investment, financial, trading, legal, tax or accounting advice, a recommendation, an offer or a solicitation to buy or sell any security, derivative, digital asset or other product. Earnings dates, estimates, historical reactions, "average move" figures, market data, charts, rankings, holder lists, trade rationales and any other content are provided for information only. You alone are responsible for deciding whether any transaction is appropriate for you. You should consult your own advisers.
2.4 You do not own the underlying asset. Perpetuals are derivative contracts. They do not give you ownership of, or any rights in, any share, security, company, commodity or other underlying asset, including voting rights, dividends or any claim against the issuer. A Perpetual's price may differ from the price of the asset it references.
3. Eligibility and restricted jurisdictions
3.1 Who may use the Services. You may use the Services only if you: (a) are at least 18 years old and the age of majority where you live; (b) can form a binding contract; (c) are not a Restricted Person; (d) are not located in, organized in, or a resident of a Restricted Jurisdiction; and (e) are not barred from using the Services under any applicable law.
3.2 Restricted Persons and Jurisdictions. A "Restricted Person" is any person or entity that is (or is owned or controlled by a person that is) the subject of sanctions or designated on any list of prohibited or restricted parties maintained by the United Nations Security Council, the United States (including the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List and the U.S. Department of Commerce's Entity List), the United Kingdom, the European Union or its Member States, or any other applicable authority. A "Restricted Jurisdiction" is any country or territory that is the subject of comprehensive sanctions, and any jurisdiction in which access to the Services, or to particular features such as leveraged derivatives trading, is prohibited or requires a license we do not hold. Certain features, including trading Perpetuals, are not available to persons located in, or residents or citizens of, the United States or other jurisdictions we designate from time to time. We may publish, update and enforce a list of Restricted Jurisdictions and feature-specific restrictions at any time.
3.3 No circumvention. You will not use a VPN, proxy, false location, false identity or any other method to circumvent geographic or eligibility restrictions. If you do, you are in breach of these Terms and you bear all resulting losses.
3.4 Verification. We and our partners may, at any time, ask you for information to verify your identity, age, location, eligibility or source of funds, and may screen you, your wallet addresses and your transactions against sanctions lists and blockchain analytics. We may refuse, limit, suspend or end your access based on the results, in our sole discretion.
4. Your account
4.1 Account creation. To use certain features you must create an account, for example by signing in with your email address, Apple ID, Google account or another method we support. You agree to provide accurate, current and complete information and to keep it updated.
4.2 Usernames and profiles. You may choose a username, profile photo and other profile information. Usernames are public and may be shown to other users, in shareable content and on referral links. You may not choose a username that impersonates anyone, infringes anyone's rights, or is offensive or misleading. We may reclaim, change or remove any username or profile content at any time, for any reason.
4.3 Security. You are responsible for all activity under your account and for keeping your device, email account and authentication methods secure. Notify us immediately of any unauthorized use. We are not liable for any loss resulting from unauthorized access to your account or wallet that does not result from our gross negligence or willful misconduct.
5. Your self-custodial wallet
5.1 Embedded wallet. When you create an account, a self-custodial digital asset wallet may be created for you using technology provided by a third-party wallet infrastructure provider (currently Privy). Your private key is generated and secured using that provider's systems (which may use secure enclaves, key sharding or similar techniques). Buzz Research does not have access to your private key and cannot move your funds, reverse your transactions, or recover your wallet.
5.2 Your responsibility. You are solely responsible for retaining access to the login methods and any recovery methods associated with your wallet. If you lose access to them, you may permanently lose access to your funds. You agree to hold Buzz Research harmless for any such loss.
5.3 Signing. When you take an action that requires a signature (such as placing an order, depositing to a Protocol, approving a fee, or withdrawing), you authorize that signature. Where the Services offer Face ID, Touch ID, passcode or similar device authentication, you are responsible for who can unlock your device. Transactions on blockchains and Protocols are generally irreversible.
6. Funding and withdrawals
6.1 Third-party payment providers. The Services may let you add or withdraw funds using third-party payment, onramp and offramp providers (for example MoonPay or providers accessible through Apple Pay) ("Payment Providers"). Payment Providers are not Buzz Research. Your use of a Payment Provider is governed by its own terms, privacy policy, fees, limits and identity verification requirements, and the Payment Provider, not Buzz Research, is responsible for processing your payment. We do not receive or store your full card or bank details.
6.2 Stablecoins. Balances in your wallet and on Protocols are typically held as USDC or other stablecoins issued by third parties. We do not issue, control or guarantee any stablecoin, its reserves, its redemption or its peg, and a stablecoin issuer or its service providers may freeze or restrict stablecoins in your wallet.
6.3 Network and protocol steps. Moving funds may involve multiple steps across networks and Protocols (for example bridging, depositing to a Protocol, or transferring between Protocol accounts). These steps may be delayed, fail, or incur network or Protocol fees, and are outside our control.
7. Trading
7.1 Orders. When you submit an order, you instruct your wallet to sign and send that order to the relevant Protocol. Displayed prices, sizes, margin, leverage, liquidation prices, fees and estimated P&L are estimates only and may differ from actual execution. Orders may be partially filled, rejected, delayed or not executed at all. Market conditions around earnings reports can move very fast and prices can gap.
7.2 Leverage, margin and liquidation. Leverage multiplies both gains and losses. If the value of your position moves against you, your position may be partly or fully liquidated by the Protocol without notice, and you may lose all of the margin you committed and any other collateral the Protocol treats as available. Maximum leverage, margin requirements, funding rates and liquidation rules are set by the Protocol and may change at any time.
7.3 Funding. Perpetuals may accrue periodic funding payments that you may pay or receive. Funding is determined by the Protocol.
7.4 Market hours and reference prices. Perpetuals that reference stocks may trade when the underlying stock market is closed and may rely on oracles, internal pricing or other mechanisms that we do not control. Their prices may diverge significantly from the reference asset.
7.5 No guarantee of availability. We may add, remove, restrict or change any market, asset, leverage limit, order type, feature or default at any time, including during periods of volatility.
8. Community and Copy Features
8.1 Public by default. If you have open positions or post content through Community Features, other users may see your username, profile photo, the markets you hold, the direction (long or short) and approximate size of your positions, your trade rationales and other related activity, and that information may be ranked, aggregated, displayed in holder lists and leaderboards, and included in shareable content. You can limit some of this in your settings where we make controls available.
8.2 Copy Features. Copy Features let you view other users' positions and place your own order in the same direction. When you copy a trade, you are placing your own order, at your own size, with your own funds, at your own risk. The other user is not your adviser and has no duty to you. A copied position may be entered at a different price, may not be closed when the other user closes, and may perform very differently. Rankings, sizes and rationales may be incomplete, delayed, inaccurate, or not reflect a user's full portfolio. Neither Buzz Research nor any other user is responsible for your results.
8.3 Your content. You retain ownership of the text, images and other content you submit ("User Content"). You grant Buzz Research and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to host, store, reproduce, modify, adapt, translate, publish, publicly display, distribute, create derivative works from, and otherwise use your User Content, together with your username and profile photo, in connection with operating, improving, promoting and marketing the Services, in any media now known or later developed. You represent that you have all rights needed to grant this license and that your User Content does not violate law or anyone's rights.
8.4 Rules. You will not post User Content that is false or misleading, manipulative (including content intended to move a market or promote a pump-and-dump), defamatory, harassing, hateful, sexually explicit, infringing, or that discloses material non-public information or anyone's personal information. You will not misrepresent your identity, positions or results. We may remove any User Content and restrict any account at any time, for any reason, without notice, but we have no obligation to monitor User Content.
9. Risks
You understand and accept the following risks, among others:
- Loss of funds. You may lose all of the funds you deposit or commit, including through liquidation, adverse price moves, funding payments, fees, slippage, Protocol failures, smart contract bugs, oracle failures, network congestion, hacks or exploits.
- Volatility. Prices around earnings reports and other scheduled events can move sharply and gap. Historical earnings reactions and averages do not predict future results.
- Protocol and third-party risk. Protocols, wallet providers, Payment Providers, stablecoin issuers, oracles, data providers and blockchains are operated by third parties. They may change their rules, pause, fail, be exploited, freeze assets or cease to operate.
- Regulatory risk. The legal status of Perpetuals, stablecoins and self-custodial software is uncertain and changing. New laws or enforcement could restrict or end your ability to use the Services in your jurisdiction, with or without notice.
- Technology risk. Software, including ours, may contain bugs. Devices may be lost, compromised or malfunction. Internet and mobile networks may be unavailable.
- Data risk. Market data, earnings dates, estimates and other content may be delayed, incomplete or wrong.
- Tax. You are solely responsible for determining and paying any taxes on your activity.
10. Fees
10.1 Our fees. We may charge fees for the Services, including a builder fee or interface fee added to orders you place through the Services. The applicable fee will be shown or described in the Services before you confirm, and you authorize it to be deducted as part of your signed transaction. We may change our fees at any time going forward.
10.2 Third-party fees. Protocols, networks and Payment Providers charge their own fees, which are separate from ours.
10.3 Referrals and promotions. We may offer referral programs, fee discounts, rebates, rewards or other promotions, subject to any additional rules we publish. We may change, suspend or end any program at any time, and may withhold or claw back rewards obtained through fraud, abuse, self-referral, multiple accounts or breach of these Terms. Rewards have no cash value unless we say otherwise.
11. Prohibited conduct
You will not, and will not help anyone else to: (a) violate any law, including sanctions, anti-money-laundering, securities, commodities and consumer protection laws; (b) use the Services from a Restricted Jurisdiction or as a Restricted Person; (c) engage in market manipulation, wash trading, spoofing, front-running, insider trading or other abusive trading; (d) use proceeds of crime or finance illegal activity; (e) access the Services through automated means (bots, scrapers) except through interfaces we expressly provide; (f) reverse engineer, decompile, interfere with, overload or attack the Services; (g) create multiple accounts to abuse promotions or evade restrictions; (h) impersonate anyone; (i) infringe anyone's intellectual property or privacy; or (j) use the Services in any way that could harm Buzz Research, our partners or other users.
12. Intellectual property
The Services, including all software, designs, text, graphics, card art, logos, the "Earnings" name and other materials (excluding User Content and third-party materials), are owned by Buzz Research or its licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the app on a device you own or control, for your personal, non-commercial use. Company names, logos and trademarks shown in the Services belong to their owners, are used to identify markets, and do not imply any affiliation or endorsement.
Feedback. If you send us ideas, suggestions or feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you.
13. Third-party services and content
The Services may display or link to third-party content, data, Protocols, apps and websites. We do not control, endorse or guarantee them, and your use of them is at your own risk and subject to their terms. We are not liable for any loss arising from third-party services.
14. Apple App Store
If you downloaded the app from the Apple App Store: these Terms are between you and Buzz Research, not Apple; Apple has no obligation to provide maintenance or support; to the maximum extent permitted by law, Apple has no warranty obligation for the app; Apple is not responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance or consumer protection claims; Apple is not responsible for any third-party intellectual property claims; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
15. Suspension, termination and changes
We may suspend, restrict or terminate your access to all or part of the Services, or remove your account, at any time, for any reason or no reason, with or without notice, including to comply with law or requests from authorities, to manage risk, or if we suspect a breach of these Terms. Because your wallet is self-custodial, you may generally still be able to access your funds directly on the relevant Protocols or through your wallet provider even if we end your access to the Services. Sections that by their nature should survive termination will survive.
We may modify, suspend or discontinue the Services or any feature at any time without liability.
16. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND THOSE ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICES OR ANY DATA WILL BE ACCURATE, COMPLETE, TIMELY, SECURE, ERROR-FREE OR UNINTERRUPTED, OR THAT ANY ORDER WILL BE EXECUTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZ RESEARCH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, DIGITAL ASSETS OR TRADING LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO BUZZ RESEARCH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.
18. Indemnity
You will defend, indemnify and hold harmless Buzz Research and its affiliates, officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, your trading, your breach of these Terms, or your violation of any law or third-party right.
19. Dispute resolution
19.1 Informal resolution. Before filing a claim, you agree to contact us at malcolm@buzzmarkets.io and try to resolve the dispute informally for at least 60 days.
19.2 Binding arbitration. If you are located in the United States or Canada, any dispute, claim or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator, seated in New York, New York (or remotely), and conducted in English. The Federal Arbitration Act governs this Section. The arbitrator, not a court, decides questions of arbitrability. Judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in small claims court instead, and either party may seek injunctive relief in court to protect intellectual property.
19.3 Class action waiver. YOU AND BUZZ RESEARCH MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a claim, that claim will proceed in court, not arbitration.
19.4 Opt-out. You may opt out of arbitration by emailing malcolm@buzzmarkets.io with your name, account email and a clear statement that you opt out, within 30 days after you first accept these Terms.
19.5 Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.
19.6 Other users. If you are located outside the United States and Canada, Disputes will be resolved exclusively in the state or federal courts located in New York County, New York, unless mandatory local law gives you the right to bring proceedings where you live.
20. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules, except where mandatory consumer protection law of your place of residence applies.
21. Changes to these Terms
We may change these Terms at any time in our sole discretion. We will post the updated Terms in the Services and update the "Last updated" date, and may notify you in the app or by email. Changes are effective when posted unless we say otherwise. If you continue to use the Services after changes take effect, you accept them. If you do not agree, stop using the Services.
22. General
These Terms, together with the Privacy Policy and any additional terms we present for specific features, are the entire agreement between you and Buzz Research regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger, acquisition, reorganization or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only, and "including" means "including without limitation."
